MANAGING DIRECTOR
Robert Cowley


Robert is a Certified Practicing Accountant with post graduate qualifications in law, finance and banking.
Prior to joining Shelfcom, Robert was Managing Director of a bespoke management consulting business which he established, from start-up, in 1997.
He has extensive experience in running businesses and has worked on a variety of high value projects across a range of markets. Working with multi-disciplinary teams these projects have involved developing and implementing organisational change management arrangements, joint ventures, establishing international companies, trusts and foundations, plus capital raisings and investments. Shelfcom clients also benefit from his involvement with a wide network of ancillary organisations e.g. Taxation, Accounting, Banking, Chambers of Commerce, Trade, and International Affairs.

Australian Companies


Australia offers two different types of companies, the Proprietary Company and the Public Company.

Proprietary Companies
A Proprietary company is specifically restricted to 50 non-employee members and must fulfil the following requirements:

A minimum of one member.
A maximum of 50 non-employee members.
A minimum of at least one Australian-resident director.
An Australian-resident company secretary.

This type of company is divided into two further classifications:
Large Proprietary Companies
A 'large' Proprietary Company must fulfil any two of the following criteria:
  • The company's consolidated and operating revenue must exceed AUSD 10 million.
  • The company's consolidated and gross assets exceed AUSD 5 million.
  • The company and its controlled entities must have 50 or more employees.
Small Proprietary Companies
By exclusion, a Small Proprietary Company is any company that does not meet the above criteria.

Public Companies
Public companies are simply any company that is not a Proprietary Company. Public Companies must also fulfil the following requirements:

A minimum of one member.
An unlimited number of members.
An Australian-resident company secretary.
A minimum of three directors, two of whom must be Australian-resident.
